Professional Services Terms & Conditions

1. Professional Consulting Services Only

TreeCheckUp, LLC (“TreeCheckUp”) provides independent arboricultural consulting services limited to professional observation, analysis, documentation, and advisory recommendations. TreeCheckUp does not perform physical tree work, construction activities, or landscape services.

All opinions and recommendations are based on conditions observed at the time of assessment and reflect professional judgment, not guarantees of performance or outcomes.

2. Independent Contractor Relationship

TreeCheckUp acts solely as an independent professional consultant. Nothing herein shall be construed as creating any agency, partnership, joint venture, or fiduciary relationship between TreeCheckUp and the client.

3. No Contractor Control or Supervision

TreeCheckUp does not hire, retain, supervise, direct, or control contractors, subcontractors, or vendors. TreeCheckUp does not select or direct means, methods, sequences, techniques, or safety practices related to any physical work.

Contractors engaged by the client are independent third parties solely responsible for execution of work, jobsite safety, compliance with applicable laws, and required insurance coverage.

4. No Jobsite Safety Responsibility

TreeCheckUp does not assume responsibility for jobsite safety, safety programs, or compliance with OSHA or other workplace safety regulations. Responsibility for jobsite conditions and worker safety rests exclusively with the contractor(s) performing the work.

5. Verification vs. Supervision

If requested, TreeCheckUp may perform post-work observation or verification to assess general consistency with prior recommendations. Such services do not constitute supervision, inspection, acceptance, or approval of contractor work.

6. Insurance Alignment

TreeCheckUp maintains professional liability (Errors & Omissions) and general liability insurance appropriate for consulting and advisory services only. TreeCheckUp does not carry insurance for physical tree work, construction activities, or contractor operations.

Clients are responsible for ensuring that all contractors engaged for implementation carry appropriate insurance for their respective scopes of work.

7. Reliance and Use of Reports

Reports and recommendations prepared by TreeCheckUp are intended solely for the client identified in the proposal unless otherwise stated. No third-party reliance is permitted without TreeCheckUp’s prior written consent.

8. Governing Law and Dispute Resolution

These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Florida.

Any dispute arising out of or relating to TreeCheckUp’s services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in Florida, and the parties waive the right to a jury trial.

9. Governing Terms

These Professional Services Terms & Conditions apply to all proposals, reports, and services provided by TreeCheckUp unless superseded by a written agreement signed by both parties.

10. Payment & Release of Deliverables

Payment terms are as stated in the applicable proposal. Final reports, datasets, maps, and other deliverables are not released until payment has been received unless otherwise agreed in writing.

11. Ownership & License to Use

All work products, including reports, data, maps, and supporting materials, remain the property of TreeCheckUp until full payment is received. Upon payment, the client is granted a non-exclusive license to use the work product for the purposes described in the proposal.

12. Non-Payment Remedies

In the event of non-payment, TreeCheckUp reserves the right to suspend services, withhold deliverables, and decline further clarification or third-party coordination. TreeCheckUp may also notify relevant reviewing authorities that submitted materials are not valid due to non-payment.

In the event of any inconsistency, the version of these Terms & Conditions attached to the proposal shall govern.
